Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Neural Commander Pty Ltd (ABN pending) ("Neural Commander", "we", "us", "our") governing your access to and use of the Neural Commander website, software, and services.

Intellectual Property: Neural Commander intellectual property is held by Neural Commander Pty Ltd.

By accessing our website or using our software, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms are governed by the laws of New South Wales, Australia and comply with Australian Consumer Law.

2. Our Services

Neural Commander provides:

• Self-Sovereign AI Infrastructure: Go daemon with persistent memory vault, session intelligence, and provider gateway
• Commander Intelligence Suite: Seven specialised commanders (Health, Strategic, Finances, Projects, Relationships, Wealth, Knowledge)
• Agent Interface: Telegram bot and CLI for remote control of your AI basestation
• AI Coordination: Provider Gateway routing across local and cloud models using your own API keys (BYOK)

3. Service Tiers

3.1 Community (Free)

Free forever tier with NC Core infrastructure, Email Intelligence, Provider Gateway (local models), seven commander personas, and Agent Interface (Telegram + CLI + TUI). Free to use.

3.2 Pro (Paid)

Enhanced features including multi-entity vaults, cloud-accelerated analysis, multi-persona agents, PII encryption gate, cross-device sync, and priority support.

3.3 Team/Enterprise

Multi-user features with team shared context (Layer 3 architecture), centralised vault management, SSO, and dedicated support.

4. Your Account

4.1 Account Creation

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activities under your account. Notify us immediately of any unauthorized access at hello@neuralcommander.ai.

4.3 API Keys (BYOK)

Neural Commander uses a Bring Your Own Key (BYOK) model. You are responsible for:

• Obtaining and managing your own API keys from AI providers
• Securing your API keys on your local machine
• Complying with the terms of service of your AI providers
• All charges from AI providers for API usage

5. Acceptable Use

You agree NOT to:

• Reverse engineer, decompile, or disassemble the software
• Circumvent licensing or usage restrictions
• Use the software for illegal purposes
• Redistribute or resell the software without authorization
• Introduce malware or malicious code
• Attempt unauthorized access to our systems
• Use automated systems to scrape or abuse our website
• Impersonate others or provide false information

6. Pricing and Payment

6.1 Pricing

Current pricing is displayed on our pricing page. Prices are in USD and may change with notice. Existing subscriptions are honored at their contracted rate.

6.2 Payment Processing

Payments are processed securely by Stripe. We do not store your credit card details.

6.3 Founders' Rate

The Founders' Rate ($12/mo) is a limited offer for the first 100 paying users, providing a permanently locked Pro price. This rate persists for as long as the subscription remains active.

6.4 Refunds

Monthly subscriptions may be cancelled at any time. Refunds for annual subscriptions are prorated. Your rights under Australian Consumer Law are not affected.

7. Intellectual Property

7.1 Our IP

Neural Commander software, website, documentation, and all related intellectual property remain the property of Neural Commander Pty Ltd. You receive a license to use, not ownership.

7.2 Your IP

You retain all rights to your source code, projects, vault contents, and work product. Neural Commander does not claim any rights to your data.

7.3 Feedback

If you provide feedback or suggestions, you grant us a non-exclusive, royalty-free license to use and incorporate that feedback into our products.

8. Warranties and Disclaimers

8.1 Service Delivery

We will provide our services with reasonable care and skill. The software will perform substantially as described in our documentation.

8.2 No Guarantee of Results

8.3 Third-Party Services

Neural Commander integrates with third-party AI providers. We are not responsible for their availability, performance, or changes to their services.

8.4 Pre-Release Software

Pre-release versions are provided "as is" and may contain bugs or incomplete features. Use pre-release software at your own risk.

9. Limitation of Liability

9.1 Liability Cap

To the maximum extent permitted by law, our total liability is limited to the amount you paid us in the 12 months preceding the claim.

9.2 Exclusions

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

10. Termination

10.1 By You

You may cancel your subscription at any time. Monthly subscriptions end at the current billing period. Annual subscriptions may be eligible for prorated refunds.

10.2 By Us

We may suspend or terminate your access for:

• Violation of these Terms
• Non-payment (30+ days overdue)
• Fraudulent or illegal activity
• At our discretion with 30 days notice

10.3 Effect of Termination

Upon termination, your license to use paid features ends. Your local data remains on your machine. The Community Edition continues to function.

11. Dispute Resolution

If you have a dispute with us:

2. Formal Complaint: We will respond within 10 business days
3. Escalation: Unresolved complaints escalate to management
4. Mediation: External mediation before litigation

These Terms are governed by the laws of New South Wales, Australia. Courts of NSW have exclusive jurisdiction.

12. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or website notice 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree, you may cancel your subscription.

13. General Provisions

• Entire Agreement: These Terms, our Privacy Policy, and any order forms constitute the complete agreement
• Severability: If any provision is unenforceable, others remain in effect
• No Waiver: Failure to enforce a right does not waive it
• Assignment: You may not assign your rights without our consent
• Force Majeure: Neither party liable for delays due to circumstances beyond reasonable control
